1. Agreement to these Terms
These Terms of Use ("Terms") are a legally binding agreement between you and Center Health Incorporated ("Center Health", "we", "us", or "our") governing your access to and use of the Center Health website and our related subdomains, content, and services (the "Services"). The Services include any website, webpage, content, functionality, or online service that displays, links to, or references these Terms. By accessing, visiting, browsing, using, or attempting to interact with the Services, or any part of them, you agree to these Terms. If you do not agree, do not access or use the Services.
We may modify these Terms from time to time with or without notice to you, in our sole discretion. We will indicate changes by updating the "Last updated" date, and your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. The most current version of these Terms supersedes all prior versions.
2. About Center Health and the Services
Center Health provides a remote patient monitoring ("RPM") software platform that healthcare providers use to monitor and support their patients. Our public website provides information about our services and supports our relationships with healthcare-provider organizations. The Services are intended for use by users located in the United States, and references to any services do not imply that Center Health intends to make those services available in any particular jurisdiction. We do not sell products or subscriptions directly to consumers, and the Services are not a store.
Different parts of the Center Health platform are governed by additional terms and conditions (“Additional Terms”):
- Healthcare-provider organizations access the platform under a Master Services Agreement and a Business Associate Agreement with Center Health; their use is governed by those agreements (see Section 4). If any Additional Terms apply, we will make them available before use of the applicable portion of the Services. By using that portion of the Services, you agree to the applicable Additional Terms.
- Patients use the Center Health application and RPM service after being enrolled by their healthcare provider; their use is governed by the Patient App & RPM Service Terms and the provider's Notice of Privacy Practices. If you disagree with these Terms or are dissatisfied with the Services, your sole and exclusive remedy is to stop accessing or using the Services.
3. Eligibility
The Services are intended for business and professional use and for individuals who are at least 18 years old, except where a patient is enrolled in monitoring through their healthcare provider with the involvement of a parent or guardian as required. We do not intend to permit use of the public-facing Services by, or collect information through the public-facing Services from, children under the age of 18. If you are under 18, you may not access or use the Services without the consent and involvement of your parent or guardian. You agree to provide accurate information and to use the Services only for lawful purposes and as permitted by these Terms. If we believe information you provide is not accurate, current, or complete, we may refuse, suspend, or terminate your access to the Services.
4. Healthcare-provider customers
If you access the Center Health platform on behalf of a healthcare-provider organization, your organization's use of the platform is governed by the Master Services Agreement and Business Associate Agreement between Center Health and your organization. In the event of any conflict between those agreements and these Terms with respect to the platform, those agreements control. Provider portal access is also subject to the Provider Portal Terms.
5. Patients and the RPM service
If you are a patient, you access the Center Health application and RPM service because your healthcare provider has enrolled you. Your use is governed by the Patient App & RPM Service Terms, and the health information we process about you is handled as described in the provider's Notice of Privacy Practices. Center Health provides technology that supports monitoring by your healthcare provider. Center Health is not your healthcare provider and does not provide medical care, medical advice, diagnosis, or treatment. Any health-related information made available through the Services should be considered general and informational only and should not be relied upon to determine a course of treatment for any particular individual.
6. Not medical advice; the Aria assistant
The Services, including content and any output of the Aria assistant, are provided for informational purposes to support remote patient monitoring under the direction of your healthcare provider. They are not a substitute for professional medical advice, diagnosis, or treatment, and they do not create a doctor-patient relationship with Center Health. Nothing contained within the Services is intended to constitute medical advice, instruction for medical diagnosis, or instruction for treatment. You should not rely on any content, output, message, or other information made available through the Services for personal, medical, legal, technical, or financial decisions. Those decisions should be made only in consultation with your physician or other qualified healthcare provider.
Aria is an AI assistant. The information it provides is informational only and is not a diagnosis, treatment recommendation, or a substitute for the clinical judgment of your healthcare provider. Any information provided through Aria or the Services may be incomplete and should be considered hypothetical and informational only. Always seek the advice of your physician or other qualified health provider with any questions about your health, and never disregard or delay seeking professional medical advice because of something provided through the Services. After reviewing any information provided through the Services and before taking any action based on that information, you are expected to make a reasonable investigation into, and consider the potential consequences of, that action, including by speaking with your healthcare provider. If you obtain or rely on any information through the Services, you do so at your own risk. If you are experiencing a medical emergency, call 911 or your local emergency number immediately. You are responsible for decisions you make based on information provided through the Services, to the fullest extent permitted by law.
7. Acceptable use
You agree not to:
- use the Services for any unlawful, harmful, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation;
- access, or attempt to access, any account, data, or system area you are not authorized to access, or interfere with or circumvent security, authentication, logging, or access controls;
- disrupt or place an undue burden on the Services or connected networks, or introduce malware or other harmful code;
- use any automated means (such as scrapers, bots, or data-mining tools) to access or extract data from the Services, except standard search-engine indexing or as expressly permitted by Center Health in writing;
- copy, modify, reverse engineer, decompile, disassemble, translate, sell, transfer, license, publicly display, publicly perform, publish, distribute, or create derivative works from the Services or their software, except as permitted by law;
- impersonate any person or misrepresent your affiliation;
- harass, threaten, or harm our personnel or other users;
- co-brand, frame, mirror, or otherwise display the Services in association with any third-party name, logo, trademark, or other source identifier without Center Health’s prior written permission;
- obtain or attempt to obtain any materials, content, or information through any means not intentionally made available through the Services;
- probe, scan, or test the vulnerability of the Services or any related system or network, or attempt to breach any security or authentication measures; or
- use the Services in any manner that infringes or violates any third-party intellectual-property, privacy, publicity, or other rights.
- We may monitor for, and take appropriate action regarding, violations of these Terms, including restricting or terminating access. We may investigate actual or suspected violations, suspend access during an investigation, remove materials from our systems, report actual or suspected violations to law enforcement or other appropriate authorities, and seek all remedies available at law or in equity. You agree to cooperate fully with any such investigation and acknowledge that violations of these Terms may subject you to civil or criminal penalties.
8. Intellectual property and license
The Services and their content, software, design, trademarks, and logos are owned by or licensed to Center Health and are protected by intellectual property laws. Neither title nor intellectual-property rights in or to the Services or their content are transferred to you by your access to or use of the Services. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose for your personal, internal, non-commercial use, unless otherwise expressly permitted in a separate written agreement with Center Health. All rights not expressly granted are reserved. Any feedback you provide may be used by us without restriction or obligation to you. Modifications or use of the Services or their content except as expressly permitted by these Terms may violate Center Health’s intellectual-property rights or the intellectual-property rights of others.
9. Feedback and submissions
If you provide Center Health with feedback, suggestions, ideas, comments, reviews, or other proposed improvements regarding the Services or their content (“Feedback”), you grant Center Health a royalty-free, perpetual, irrevocable, worldwide, sublicensable, transferable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit the Feedback in any form, media, or technology now known or later developed, without compensation or obligation to you.
Anything you post, upload, share, store, transmit, or otherwise provide through the Services will be treated as non-confidential and non-proprietary, except to the extent expressly provided in our Privacy Policy, the provider's Notice of Privacy Practices, or written agreement between Center Health and a healthcare-provider organization. You are solely responsible for your submissions and represent that they are accurate, complete, lawful, and do not infringe or violate any other person’s rights. Center Health is not required to treat Feedback as confidential or proprietary and will not incur liability as a result of any similarities between Feedback and future Center Health products, services, or business operations.
10. Mobile applications and app stores
If you access the Services through a mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the application on devices you own or control, subject to these Terms and the applicable app store's terms. You agree to comply with the relevant app store rules, and you acknowledge that the app store provider is not responsible for the application or for providing support or warranties for it, except as required by law. The app store providers are third-party beneficiaries of this Section and may enforce it against you. Patient use of the Center Health application is further governed by the Patient App & RPM Service Terms.
11. Privacy
Our handling of non-health personal information is described in our Privacy Policy. Our handling of patient health information is governed by our Business Associate Agreements with healthcare providers and described in those providers' Notices of Privacy Practices. It is a condition of your use of the Services that any information you provide through the Services is accurate, current, and complete. Information collected through the Services will be used and maintained consistent with our applicable privacy notices and agreements.
12. Third-party links
The Services may link to third-party websites or resources that we do not control. We are not responsible for, and do not endorse, their content, products, or services. We make no representations or warranties regarding the content, completeness, accuracy, effectiveness, timeliness, or suitability of any third-party websites, content, or resources. The inclusion of a third-party link does not imply endorsement by Center Health of that website, its owner, or its content. Your use of third-party sites is at your own risk and subject to their terms. Center Health will not edit, censor, or otherwise control third-party content except as otherwise provided through the Services.
13. Accuracy of information and forward-looking statements
The content available through the Services may not be complete, accurate, or up to date and should not be used to replace any written reports, statements, notices, instructions, or other information provided by Center Health or by your healthcare provider. The Services may contain forward-looking statements reflecting Center Health’s current expectations regarding future events, business development, services, technology, or other matters. Forward-looking statements involve risks and uncertainties, and actual developments or results may differ materially from those projected. Center Health may update the Services from time to time but assumes no obligation to update any content.
We do not warrant the accuracy, effectiveness, completeness, timeliness, or suitability of any information available through the Services. Each person assumes full responsibility and all risks arising from use of the Services. Information is presented “as is” and may include technical inaccuracies or typographical errors. Center Health reserves the right to make additions, deletions, or modifications to information at any time without prior notice.
14. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, that defects will be corrected, that your use of the Services or their content will not infringe the rights of others, or that the Services or any server or system that makes them available will be free of viruses or other harmful components. The medical disclaimers in Section 6 apply to all use of the Services. Center Health and its licensors, suppliers, service providers, partners, affiliates, and each of their respective officers, directors, employees, contractors, representatives, and agents disclaim all liability and responsibility for errors or omissions in the Services or their content. You, and not Center Health, assume the entire cost of all necessary servicing, repair, or correction in the event of any loss or damage arising from use of the Services or their content.
15. Limitation of liability
To the fullest extent permitted by law, Center Health and its directors, officers, employees, agents, affiliates, licensors, service providers, content providers, contractors, representatives, successors, and assigns will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, income, pain and suffering, emotional distress, personal injury, delay, interruption in service, viruses, deletion of files or electronic communications, errors, omissions, inaccuracies, or data, arising out of or relating to your use of the Services, even if advised of the possibility of such damages and whether or not there is negligence by Center Health. To the fullest extent permitted by law, in no event will the collective liability of Center Health and its affiliates, licensors, service providers, content providers, employees, agents, officers, directors, contractors, representatives, successors, and assigns to any party, regardless of the form of action, whether in contract, tort, or otherwise, exceed one hundred dollars ($100). Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Center Health and its affiliates and their respective officers, agents, employees, licensors, content providers, service providers, directors, contractors, representatives, successors, and assigns, from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party. You agree that the indemnified parties will have no liability in connection with any breach or unauthorized use by you, and you agree to indemnify them for all resulting losses, damages, judgments, awards, fines, costs, expenses, and attorneys’ fees, including those incurred in defending third-party claims. We will attempt to provide notice of any claim to the contact information we have for you, but failure to deliver notice will not eliminate or reduce your indemnification obligations.
17. Security
You are prohibited from attempting to compromise security or tamper with system resources, accounts, networks, or systems associated with the Services. The use or distribution of tools designed for compromising security, including password-guessing programs, cracking tools, or network-probing tools, is strictly prohibited. If you become involved in any violation of system security, Center Health may release information relating to you to system administrators at other websites, service providers, law enforcement, or other appropriate parties to assist in resolving security incidents or investigating suspected violations.
Without limiting Center Health’s rights under its Privacy Policy, the applicable provider's Notice of Privacy Practices, or applicable agreements, Center Health may use and disclose information relating to you when it believes disclosure is necessary to investigate, identify, contact, or bring legal action against someone who may be causing injury to or interfering with Center Health’s rights or property, other users, patients, healthcare-provider organizations, or anyone else. Center Health may also disclose information when subpoenaed, ordered, or otherwise required by law, court order, governmental authority, or similar process; to exercise, establish, or defend rights; to protect vital interests; or when Center Health otherwise believes in good faith that applicable law requires or permits disclosure.
You understand that Center Health cannot and does not guarantee that files, content, or materials available through the Services will be free of viruses, worms, Trojan horses, or other harmful code. You are responsible for implementing sufficient procedures and safeguards to satisfy your own requirements for accuracy of data input and output, data backup, and protection of your systems. You acknowledge that no transmission or storage system is completely secure, and Center Health does not warrant that information provided through the Services will be free from interception or unauthorized access.
18. Electronic communications and signatures
By using the Services or contacting us electronically, you consent to receive communications from us electronically, and you agree that electronic agreements, notices, disclosures, and records satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures and records in connection with the Services.
19. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by written notice and good-faith negotiation for at least thirty (30) days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in San Mateo County, California, and the parties consent to the personal jurisdiction and venue of those courts. Each party waives any objection to that venue. However, Center Health retains the right to bring legal proceedings in any jurisdiction where it believes infringement, unauthorized access, misuse, or violation of these Terms is taking place or originating. To the extent permitted by law, any claim must be brought within one (1) year after the cause of action arises.
20. Changes to the Services
We may change, suspend, restrict, or discontinue any part of the Services at any time, or any portion of them, without notice, and in our sole discretion. We are not liable for any modification, suspension, restriction, or discontinuance of the Services, except as provided in our agreements with healthcare-provider organizations.
21. Miscellaneous
These Terms, together with the documents they reference, are the entire agreement between you and Center Health regarding the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Center Health regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the maximum extent permitted to reflect the parties’ original intent or, if not capable of modification, severed from these Terms. Our failure to enforce any provision or any right or remedy available under these Terms, at law, or in equity is not a waiver of that provision, right, or remedy. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or otherwise convey any of our rights or obligations under these Terms; you may not assign these Terms without our prior written consent. Nothing in these Terms creates a partnership, agency, employment, joint venture, or representative relationship. Provisions that by their nature should survive termination of these Terms will survive termination, including indemnification obligations, limitations of liability, ownership and intellectual-property provisions, disclaimers, and dispute-related provisions. Section headings are for convenience only and do not affect interpretation. These Terms may contain typographical errors, inaccuracies, or omissions, and Center Health reserves the right to correct them and to update these Terms at any time.
